1. Introduction

Welcome to Makandaax. These Terms and Conditions govern your use of our services, products, and website operated by MAKANDAAX PRIVATE LIMITED, a company registered in India with its registered office at Mohalla Parwaripura, Infront of Agrasen College, Mauranipur, Jhansi, Uttar Pradesh - 284204, India. By accessing or using our services, you agree to be bound by these terms.

2. Company Information

MAKANDAAX PRIVATE LIMITED operates on a Hybrid Working Model, combining remote and on-site operations to deliver technology services globally. We bring 5+ years of excellence in the industry, officially registered in July 2026.

3. Definitions

For the purposes of these Terms and Conditions:

• "Company" refers to MAKANDAAX PRIVATE LIMITED.
• "Services" refers to all technology services, products, and solutions offered by the Company.
• "Client" or "You" refers to any individual or entity using our services.
• "Deliverables" refers to any software, applications, documentation, or materials provided as part of our services.

4. Scope of Services

Makandaax provides technology consulting, software development, AI solutions, enterprise applications, web and mobile development, digital marketing, and related services. The specific scope of work for each engagement will be defined in a separate Statement of Work (SOW) or project agreement.

5. Payment Terms

Payment terms will be specified in the project agreement or invoice. Unless otherwise agreed:

• Projects require an advance payment as specified in the proposal
• Milestone-based payments apply for projects exceeding specified amounts
• Late payments may incur interest at a rate of 1.5% per month
• Work may be suspended for accounts past due beyond 30 days

6. Intellectual Property

Upon full payment of all applicable fees, clients receive ownership or license rights to deliverables as specified in the project agreement. Makandaax retains all rights to:

• Pre-existing intellectual property and proprietary tools
• General knowledge and methodologies developed independently
• Components and frameworks developed for reuse across projects

7. Confidentiality

Both parties agree to maintain confidentiality of proprietary information shared during the engagement. This obligation survives termination of the agreement and continues for a period of five (5) years thereafter.

8. Warranties and Disclaimers

Makandaax warrants that services will be performed in a professional manner. Our sole liability for breach of this warranty is to remedy deficiencies at no additional cost. EXCEPT AS EXPRESSLY STATED, ALL SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND.

9. Limitation of Liability

To the maximum extent permitted by law, Makandaax shall not be liable for indirect, incidental, special, consequential, or punitive damages. Total liability shall not exceed the total fees paid by client for the specific services giving rise to the claim.

10. Term and Termination

Either party may terminate the agreement with 30 days written notice. Upon termination, client shall pay for all work completed through the termination date. Makandaax may terminate immediately for material breach or non-payment.

11. Dispute Resolution

Any disputes arising from these terms shall be resolved through good faith negotiation. Unresolved disputes shall be submitted to binding arbitration in accordance with the Arbitration and Conciliation Act, 1996, with the seat of arbitration in Jhansi, Uttar Pradesh, India.

12. Governing Law

These Terms and Conditions shall be governed by and construed in accordance with the laws of India. Courts in Jhansi, Uttar Pradesh shall have exclusive jurisdiction over any disputes.

13. Amendments

Makandaax reserves the right to amend these terms at any time. Changes will be effective upon posting to our website. Continued use of services after changes constitutes acceptance of amended terms.
